Michael Burns
Vice Chair, Lionsgate

Burns has been Vice Chair of Lionsgate since March 2000. He and CEO Jon Feltheimer built Lionsgate into a multibillion-dollar diversified global content leader with a reputation for innovation.

Burns was a director of Lionsgate since August 1999 and was a director of Lionsgate Studios Corp. (NASDAQ: LION) from May 2024 to May 2025.

In addition to his leadership of Lionsgate’s corporate management team, Burns has played a key role in the acquisition, production and distribution of some of the studio’s most successful films, including the Academy Award® -winning Best Picture Crash, the Academy Award® -winning Monster’s Ball and the Oscar® -nominated Precious.

Burns served for nine years as Managing Director and Head of Office at Prudential Securities’ Los Angeles Investment Banking Office from 1991 to March 2000, specializing in raising equity within the media and entertainment industry. Prior to joining Prudential, he spent nine years at Shearson/American Express (now Morgan Stanley) in New York and Los Angeles.

Burns graduated with a B.S. degree from Arizona State University and received his M.B.A. from the John E. Anderson Graduate School of Management at UCLA, where he serves on the distinguished Board of Advisors.

Burns is the Non-Executive Chair of the Board.

Mignon Clyburn
President, MLC Strategies

Clyburn is President of MLC Strategies, LLC, a Washington, D.C.- based consulting firm, a position she has held since January 2019. Previously, Clyburn served as a Commissioner of the U.S. Federal Communications Commission from 2009 to 2018, including as acting chair. While at the FCC, she was committed to closing the digital divide and championed the modernization of the agency’s Lifeline Program, which assists low-income consumers with voice and broadband service. In addition, Clyburn promoted diversity in media ownership, initiated Inmate Calling Services reforms, supported inclusion in STEM opportunities and fought for an open internet. Prior to her federal appointment, Clyburn served 11 years on the Public Service Commission of South Carolina and worked for nearly 15 years as publisher of the Coastal Times, a Charleston weekly newspaper focused on the African American community.

Clyburn was a director of Lionsgate Studios Corp. (NASDAQ: LION) since May 2024, a director of Lionsgate since September 2000 and has been a director of RingCentral, Inc. (NYSE: RNG) since November 2020. Additionally, Clyburn also served as a director of Charah Solutions from April 2019 until April 2023.

Emily Fine
Principal, MHR Fund Management LLC

Fine has over 25 years of private equity and special situations investing experience and has worked with various companies in the media industry throughout her career. Fine is a Principal of MHR Fund Management LLC, a New York based private equity firm that manages over $5 billion of capital and has holdings in public and private companies across a variety of industries. Fine joined MHR in 2002 and is a member of the firm’s investment committee. Prior to joining MHR, Fine served as Senior Vice President at Cerberus Capital Management, L.P. and also worked at Merrill Lynch in the Telecom, Media & Technology Investment Banking Group, where she focused primarily on media merger and acquisition transactions.

Fine serves on the Board of Directors for Lionsgate Studios Corp. (NASDAQ: LION) and is a member of the Nominating and Corporate Governance Committee. She was previously a member of the Nominating and Corporate Governance Committee and Strategic Advisory Committee and was a director of Lionsgate Entertainment Corp. since November 2015.

Fine also serves on the Board of Directors of Rumie Initiative, a non-profit organization dedicated to providing access to free educational content through digital microlearning.

Lisa Gersh

Gersh is an experienced operating executive and public company board member, having been the CEO of multiple companies and currently serving on two public company boards. Most recently, Gersh was the CEO of the fashion brand, Alexander Wang. Prior to that, Gersh was the CEO of Goop, Inc. (a lifestyle brand founded by Gwyneth Paltrow), serving in that role from 2014 until 2016. Prior to Goop, Gersh served as President and CEO of Martha Stewart Living Omnimedia, Inc. until 2013.

In 2000, Gersh co-founded Oxygen Media with Geraldine Laybourne and served as its President and COO. In 2007, Oxygen was acquired by NBC Universal and Gersh was made the President of Strategic Initiatives at NBC. While she was at NBC, Gersh played an instrumental role in NBC Universal’s multibillion-dollar acquisition of The Weather Channel Companies and served as interim CEO in 2009. In addition, she pioneered the creation of Education Nation, a multi-media platform focused on engaging the public in a conversation about improving education in the U.S.

Previously, Gersh had 13 years of experience creating strong corporate partnerships and other strategic relationships at the New York law firm, Friedman Kaplan & Seiler LLP, which she co-founded and where she served as partner from 1986 to 1998. Gersh began her career as an attorney with Debevoise & Plimpton.

Gersh has served on the Board of Directors of Hasbro, Inc. since July 2010 where she is the Chair of the Compensation Committee and serves on the Nominating, Governance and Social Responsibility Committee. Gersh serves on one private company Board, Jones Road, a cosmetics company founded by Bobbi Brown and is on the Board of The Bail Project, a national nonprofit organization that pays bail for people in need, reuniting families and restoring the presumption of innocence. Additionally, Gersh served on the Board of Directors of MoneyLion from 2021 to 2025 and was the Chair of the Nominating and Corporate Governance Committee.

Jeffrey A. Hirsch
President and Chief Executive Officer, STARZ

As President and CEO, Hirsch shapes the overall business and programming strategy for STARZ, the leading premium entertainment destination for women and underrepresented audiences. Under his leadership, STARZ has become the only linear network to make a profitable transition to digital with approximately 70% of its revenue now fueled by a robust digital footprint, a particularly impressive accomplishment amidst unprecedented industry disruption.

Hirsch has driven the development of the company’s industry-leading, advanced technology, data analytics and digital infrastructure, including the highly rated and first-of-its-kind STARZ app. In addition to advancing enterprise-wide innovation, Hirsch has solidified STARZ as the entertainment industry’s bundling partner of choice, overseeing high-profile bundle deals with several major broad-based streaming platforms.

Hirsch led STARZ to some of its highest profile projects and the strongest programming slate in its history, including boundary-breaking originals and an expansive lineup of blockbuster movies, embodied by the network’s new brand positioning “We’re All Adults Here.” Under Hirsch’s guidance, STARZ programming has achieved a record hit rate, with five series commanding an average of 9 to 12 million multiplatform viewers per episode. He has also overseen a successful track record of expanding franchises. STARZ’s globally recognized franchises “Outlander” and “Power” have maintained cultural relevance for over a decade, including several “Power” Universe spinoff series and the highly anticipated “Outlander: Blood of My Blood.”

During his tenure, Hirsch launched the #TakeTheLead initiative, the company’s comprehensive effort to deepen its existing commitment to its core audiences. STARZ has also been named to Fast Company’s “Brands That Matter” list, and received The Hollywood Reporter’s “Trailblazer” Award, the Humanitas Prizes “Voice for Change” Award and Reel Works’ “Change Makers” Award for leading the industry in representation on screen, off screen and throughout the company.

Hirsch joined STARZ in 2015, was promoted to COO in 2016 and has led the business since September 2019. He has played a key leadership role at STARZ since joining the company in July 2015 as president of global marketing and product development. With Lionsgate’s acquisition of STARZ in December 2016, Hirsch was instrumental in integrating STARZ into Lionsgate and identifying opportunities across their combined suite of OTT offerings.

Prior to joining STARZ, Hirsch served as executive vice president and chief marketing officer, residential services, at Time Warner Cable. Hirsch was recognized in 2012 as the sole recipient of the Vanguard Award for Young Leadership and twice ranked by Forbes for his executive talents and influence in marketing and social media.

He earned a Bachelor of Arts in Communications from the University of Pennsylvania and a Master of Business Administration from The Amos Tuck School at Dartmouth College.

Bruce Mann
Managing Director, Chief Content Officer for Liberty Global

Managing Director, Chief Content Officer for Liberty Global and is responsible for content investments, partnerships, and strategy based in Los Angeles. Mann oversees Liberty Global’s Content Investments which represents circa $1.4bn in value through its strategic stakes in companies such as Formula E, TelevisaUnivision, ITV and Range Media Partners. Liberty Global Content’s planning and partnership team also manages relationships with the global streamers while working closely with its operating companies to maximize the value of its $1.8bn annual investment in its acquired and produced content.

Prior to rejoining Liberty Global in 2016, Mann ran XYZnetworks, Liberty Global’s joint venture with News Corp. owned Foxtel, which owned, operated, or distributed 11 basic cable television channels. Mann was also a founding member of Austar Entertainment, Liberty Global’s publicly traded operation in Australia.

During his 30-year plus U.S. domestic and international career, Mann has held several roles in media and sports with TVN, Austar Entertainment, Time Warner, E! Entertainment and the then Washington Redskins. Mann holds a BA in Business Administration from Clarion University.

Mann serves on the board of directors for Range Media Partners and is also a board observer of Formula E.

Mark H. Rachesky, M.D.
Founder and President, MHR Fund Management LLC

Dr. Rachesky is Founder and Chief Investment Officer of MHR Fund Management LLC, a New York-based private equity firm that manages approximately $5 billion of capital and has holdings in public and private companies across a variety of industries.

Rachesky serves on the Board of Directors for Lionsgate Studios Corp. (NASDAQ: LION) and is a member of the Compensation Committee. Rachesky is also the Non-Executive Chairman of the Board of Directors, member of the Nominating Committee and the Human Resources and Compensation Committee of Telesat Corporation (NASDAQ: TSAT), and a director and member of the Nominating Committee, the Corporate Governance Committee and the Compensation Committee of Titan International, Inc. (NYSE: TWI). Rachesky formerly served on the Board of Directors of Loral Space & Communications Inc. until its merger with Telesat Canada in November 2021, on the Board of Directors of Navistar International Corporation (NYSE: NAV) until its merger with Traton SE in July 2021, and on the Board of Directors of Emisphere Technologies Inc. until it was acquired by Novo Nordisk in December 2020.

Joshua W. Sapan
President, Sapan Studio

Sapan is the President of Sapan Studio, a boutique media, film, and television production company, and investment company he founded in 2022.

Previously, Sapan served as the Chief Executive Officer of AMC Networks, Inc. (NASDAQ: AMCX) (“AMC”) from 1996 to September 2021. Sapan joined AMC in 1987 and was named its Chief Executive Officer in 1995 and served as Executive Vice Chairman from September 2021 to December 2022. In June 2011, Sapan led the company’s successful spin-off from Cablevision Systems Corporation, as AMC began trading as a separate public company on the NASDAQ stock exchange. During his tenure at AMC, Sapan evolved the business from a collection of U.S. cable channels showcasing classic movies to a company known for original programming. Sapan is credited with building some of television’s most influential entertainment shows, including AMC’s The Walking Dead, Mad Men, Breaking Bad, and Better Call Saul, BBC AMERICA’s Killing Eve,” IFC’s Portlandia and Documentary Now! and SundanceTV’s Rectify and Top of the Lake. A champion of new voices, Sapan has brought independent film to wide audiences through IFC Films, supporting the early work of directors such as Lena Dunham, Barry Jenkins, Richard Linklater, Mira Nair, Christopher Nolan, and Lynn Shelton. In 2005, Sapan opened the brick-and-mortar IFC Center. Sapan also moved AMC into the targeted streaming business early on, launching Sundance Now in 2014 and the horror-centric Shudder in 2015. In 2018, AMC acquired the urban-oriented ALLBLK and British-focused Acorn TV, and in 2020, it launched AMC+.

Sapan has received honors including an induction into the Broadcasting & Cable Hall of Fame, NATPE’s Brandon Tartikoff Legacy Award, the Paley Prize for Innovation and Excellence, and The Media Institute’s Freedom of Speech Award for his contributions to the advancement and protection of free speech. Sapan serves on the boards of the American Film Institute, the Museum of the Moving Image, New York Public Radio, the New School, People for the American Way, and Haiti Air Ambulance.

Sapan is the author of four books: Cable TV, published by Putnam, The Big Picture: America in Panorama, and Third Act, both from Princeton Architectural Press, and RX, a book of poetry published by Red Hen Press in 2023.

Hardwick Simmons
Formerly Chairman and Chief Executive Officer, The NASDAQ Stock Market

Simmons currently serves as a director of several privately held companies. From February 2001 to June 2003, Simmons served first as Chief Executive Officer and then as Chairman and Chief Executive Officer at The NASDAQ Stock Market Inc. From May 1991 to December 2000, Simmons served as President and Chief Executive Officer of Prudential Securities Incorporated.

Simmons was a director of Lionsgate Studios Corp. (NASDAQ: LION) since May 2024 and a director of Lionsgate since June 2005.

Simmons is a former chairman of the Securities Industry Association, a former director of the Chicago Board Options Exchange, a former lead director of Raymond James Financial and a former president of the New York Bond Club. He is currently president of Stonetex Oil Corp. and a life trustee of Woods Hole Oceanographic Institution.

Simmons is a graduate of Harvard College and Harvard Business School and served in the U.S. Marine Corps Reserve from 1960 until 1966.

Harry E. Sloan
Chairman and Chief Executive Officer, Eagle Equity Partners II

Sloan is a founder, public company chief executive officer and a leading investor in the media, entertainment and technology industries. Sloan is the Chairman and CEO of Eagle Equity Partners II, LLC (“Eagle Equity”). Under Sloan’s leadership, Eagle Equity has acquired and taken public, through special purpose acquisition companies, several digital media companies including, during 2020, Draft Kings, Inc. (Nasdaq: DKNG) (“DraftKings”) and Skillz Inc. (NYSE: SKLZ). Sloan has been at the forefront and evolution of the video gaming industry as one of the founding investors and a Board Member of Zenimax/Bethesda Game Studios, the awarding winning studio acquired by Microsoft in March 2021.

Earlier in his career, Sloan was Chairman and Chief Executive Officer of MGM Studios and founded and led two public companies in the entertainment media arena, New World Entertainment and SBS Broadcasting, S.A. Sloan was also one of the founding investors of Lions Gate and served as Lions Gate’s Non-Executive Chairman from 2004 to 2005.

Sloan serves on the Board of Directors for Lionsgate Studios Corp. (NASDAQ: LION) and is Chair of the Compensation Committee. He was a director of Lionsgate since December 2021.

Ed Wilson

Wilson is an entrepreneurial media executive who moves seamlessly between traditional and emerging media and gracefully from the executive boardroom to the free-thinking space of content and talent development.

He is a sought-after advisor in the technology, media and telecom (TMT) sector, currently serving on the Boards of VICE Media which is in the midst of a remarkable post-bankruptcy turn-around, and Extreme Reach, an AI-driven creative technology platform for brands and publishers.

In 2022, Wilson and his son, Royce, launched Fifth Growth Fund, an early to middle stage growth fund focused on media and technology investments. He is also a Founding Partner in Whisper Advisors, a boutique advisory and banking firm, and the Founder of Dreamcatcher Media.

Across his various roles, Wilson draws on deep relationships developed over a two decade plus span when he served as President of FOX Television Network, NBC Enterprises and CBS Enterprises, as well as President of Tribune Broadcasting and Chief Revenue Officer of Tribune Corp.

In the educational and philanthropic realm, Wilson served as a Member of the Board of Trustees of Southern Methodist University for 12 years and continues to serve on the Executive Board of the Cox School of Business there. He is on the Advisory Board at the Walton Business School at the University of Arkansas and previously sat on the Boards of the USO and the San Diego Zoo.

A native of Rison, Arkansas and University of Arkansas alumnus (BS/BA Finance), Wilson resides in Los Angeles.
